Abstract: Asymmetric information may explain why many mergers & acquisitions (M&A) fail to create shareholder value. Asymmetric information exists when a firm holds private information that other firms do not know of. This thesis argues there is an alternative way to the traditional direct M&A approach, which eliminates asymmetric information, before the final purchasing decision is taken. The alternative way is to set up a joint venture (JV) with a buyout option to the potential acquirer. In this way, the potential acquirer can use the JV with the potential target to eliminate asymmetric information, and in case the potential target should turn out to be a peach, that is a positive NPV investment, the potential acquirer could thus exercise his buyout option. In case the potential target turns out to be a lemon, that is a negative NPV investment, the potential acquirer will not exercise his buyout option, avoiding the great lost he would have incurred, in case he had engaged in direct M&A. In financial markets, “there is nothing such as a free lunch”, which is also the case, when we depart from the direct M&A and turn to the JV with buyout option approach. Nevertheless, this thesis presents a game theoretical model that outlines the implied game between the potential acquirer and the potential target firm, with the possibilities of engaging in a direct M&A or a JV with a buyout option to the potential acquirer. In the model, we solve for relevant equilibria, which forms the underlying understanding of the mechanisms between the potential acquirer and potential target firm. This thesis takes a further step by presenting empirical evidences, by use of an event study. In the study two samples are selected: A JV Sample where a potential acquirer has engaged in a JV with a buyout option, and a M&A Sample characterized by direct M&A. Each sample consists of 98 firms where industry and time period exposure are alike for the two samples. All observations take place in the period 01.01.1996-01.01.2003. The event study presents evidence of JV with a buyout option performing better than direct M&A. It furthermore presents results on the industry level as well as cross- and intra country differences, in order to gain a more profound understanding of the relative advantage in JV with buyout option compared to direct M&A. The empirical result in this thesis has not previously been seen in the academic literature, and adds to the existing ongoing discussion within corporate finance and M&A. Based on the findings in the game theoretical model and the empirical evidence we allow ourselves to set policy implications for managers, who wish to undertake M&As. Abstract: This dissertation focuses on The Danish Wind Industry Association (DWIA). During the last ten years, the organization has moved from being a simple lobby organisation to a more diverse organization with different voices and rationalities. The DWIA is not the only organization in society experiencing this development, as this is a general tendency because modern society is becoming increasingly complex, making it more difficult to share the same frame of reference. Furthermore, this tendency has affected organizational studies. Instead of asking what an organization is - the current question is; how can an organization be perceived? This dissertation examines how the DWIA can be understood, and how this understanding affects their social relations and their future space of navigation. Through an analysis, I have discussed these aspects by digging into how the DWIA has formed meaning in their system through their written communication over a ten-year period. Through my observations, it was clarified that the DWIA has constructed themselves in two ways. First, the identity of the DWIA has been build through the relationship with its members. Secondly, an identity of the DWIA has been created through the relations to other systems in DWIA’s environment. I have researched this by looking at the semantic structures in DWIA’s internal and external communication. Consequently, these different identities create special social relations between the DWIA and their internal and external differentiated systems. I perceive these relations as a means of power, a means of intimacy, a means of economics and an educational means. These relations were examined by observing how the different identities related to a differentiated functional system and their codes of communication. My analytical strategy for these observations and examinations was based on Niklas Luhmann’s social systems theory and his theory of communications. The analysis of the semantic constructions and the coded relations showed that the DWIA has moved from being a homophonic to a polyphonic organisation. Therefore, the latter part of the dissertation focused on how the DWIA, in a future perspective, can respond to the increased complexity in society and their own organization, while still maintaining their function as a lobby organization providing services for their members and affecting the political agenda. Abstract: The purpose of this thesis is to explore the executive blog as a new phenomenon in internal corporate communication. In particular, the thesis focuses on the possibilities and constraints of using the executive blog as a platform for communicative leadership. We present an empirical case study of an executive blog authored by the CEO of Alka, a Danish insurance company, published on the company’s intranet. The case study combines quantitative and qualitative data, including interviews with the CEO and two groups of employees, a survey amongst all employees, and quantitative and qualitative content analysis of blog posts and comments written in the course of five months. Lacking a complete theoretical framework on blogging practices in corporate settings, we combine Taylor & Van Every’s perspective on organizational communication with Yates & Orlikowski’s structuration approach to genre studies and Askehave & Nielsen’s notion of the interdependency between medium and genre. On the basis of this combined theoretical framework, we propose a new model for studying genres of organizational communication and apply it to a genre analysis of the executive blog in Alka. Furthermore, we develop the concept of communicative leadership defined as an ongoing process of sensemaking and sensegiving where the leader offers a number of interpretations to members of the organization and attempts to influence the organizational meaning construction in order to lead the organization toward a preferred direction. We conclude that the executive blog can be used as a platform for communicative leadership, in the form of a mutual sensemaking and sensegiving process between the CEO and the employees participating in the conversation on the blog. However, there are also constraints and limitations. Some employees have barriers to participating, and the conversations on the blog tend to focus on consensus that excludes critical voices and alternative contributions that could be valuable to the organization. Furthermore, it is more difficult than could be expected to bypass geographical and hierarchical boundaries within the organization. The case study bears evidence of the executive blog as an emerging genre which evolves through enactment and is not defined once and for all. The genre enactment draws on genre repertoires within and outside the organization and is a subject of negotiations and diverse interpretations between members of the organization. Furthermore, our genre analysis shows how the executive blog is not only a response to existing recurrent situations, but it also produces new recurrent situations on which to act, and thereby changes communicative practices in the organization. These conclusions call for a more dynamic understanding of emerging genres in organizations than implied by existing theoretical genre concepts. Abstract: Den offentlige sektor er under forandring, og der gennemføres som aldrig før, hastigt efter hinanden, omfattende reformer som både har betydning for selve strukturen og for ledelsesrummet i den offentlige sektor. Samtidig er ledelse generelt og professionel ledelse i den offentlige sektor i særdeleshed kommet på dagsordnen. Debatten om professionel ledelse i den offentlige sektor er rykket ud af Finansministeriets kontorer og frem til såvel regering som fagbevægelse. Reformerne i den offentlige sektor er ikke entydige i forhold til, hvilken form for ledelse og styring de sætter på dagsordenen. De er ikke rettet i mod et mere ideelt bureaukrati, et nyt fagbureaukrati eller en ren markedsmodel, og reformerne udfordrer de velkendte grænser mellem politik og forvaltning, offentligt og privat, centralt og decentralt. Reformerne synes at indebære en dobbeltbevægelse mod øget decentralisering og stærk vægt på professionel virksomhedsledelse på den ene side, og en tendens til centralisering og øget detailstyring på den anden side. Disse spændinger i forvaltningspolitikken virker for os som offentlige ledere på den ene side uoverskuelige og på den anden side udfordrende. Vi ser det i forlængelse heraf interessant at undersøge, hvad kombinationen af den stærke ledelsessemantik og de modsatrettede styringsforestillinger betyder for den professionelle ledelses handlerum. Den handler om ledelse og ledelsesforestillinger i organisationer og virksomheder, der ligger mellem det offentlige og det private, som er både-og og hverken-eller. De fører ikke krig eller vinder troner, men de samarbejder i adskillige konstruktioner mellem offentligt og privat, og de agerer i vor tids gryende oplevelsesøkonomi, der fra både privat og offentlig side spås en stor fremtid. De har idealer om ledelse med fra det private og fra det offentlige og skal finde en måde at blive ledet på, som måske er en helt tredje vej. Vores hypotese er, at evnen til at hykle - defineret ved, at organisationer taler i en retning, beslutter i en anden retning og handler i en tredje retning1 - er en væsentlig lededelseskompetence, når flere og inkonsistente krav er ledelsesvilkår. Abstract: Young children has become part of the consumer culture, this combined with the shortened childhood entails that the new large-scale consumers consist of children from the age of eight. Children’s consumption is a way of reflecting their identity by using brands due to the symbolic and visual expression. However, it is argued that children are not quite as focused on brands as the media and marketing companies have portrayed. Additionally, it is discussed whether it is girls or boys who spend the most on brands. In this thesis, we have exclusively examined boys between 11-14 years old resident in the province (Nyk. F.) and the big city (Kbh. Ø.), respectively. Our purpose was to examine how these boys perceive brands in order to achieve insight about which underlying factors that might have influence on them, and how they interact with reference groups. Based on the qualitative method and, hence, the limited data set, our examination is not representative. We have based our study on interviews with 30 boys in total; 10 boys participated in the pilot survey and 20 in the final study. We decided in the final study to include four product categories; clothing, shoes, fragrances and electronics. During the interviews, we used forms to avoid that the boys influenced each other’s brand awareness; however, as these forms did not provide information about the underlying brand attitudes and perceptions, we also used collages to collect data. Our analysis consists of four themes; the boys’ economy, the boys’ parents, the four product categories and, lastly, the boys’ reference groups. In order to put our results in perspective, the collected data have been analysed with theory to determine whether our results are in accordance with the selected theory. Subsequently, theory in relation to children and consumption is included, however, theory that is not specifically linked to children is also referred to due to its relevance to our research. In relation to our research and problem statement, we firstly conclude that all the boys in general have wide brand awareness in the four product categories. However, the boys living in the big city have slightly wider brand awareness than the boys’ resident in the province, although the difference is insignificant. Furthermore, we deduce that the brands/products the boys’ are aware of is in accordance with what the own/have. The primary influence that may alter the boys’ brand attitudes 3 and perceptions is the boys’ friends, classmates and friends from hobbies. These people are, to a greater extent, able to influence the boys. The secondary reference groups are parents and older siblings. Other factors that influence the boys are the combination of a brand’s price, quality, brand and function. We conclude that the boys’ brand awareness is formed by the interaction of a brand’s style, properties along with the symbolic and visual expression. We also conclude that part-time jobs do not increase the boys’ consumption neither in number nor in brands that are more expensive compared to boys’ without a part-time job and their consumption. In general, we conclude that the boys are more focussed on an individual style rather that the brand itself. The boys’ are interested in products that reflect their style and personality, as through consumption they are able to signal identity and which groups they belong or wish to belong to. Abstract: Dans une époque marquée par la mondialisation, l’état-nation subit des changements majeurs liés à la déconstruction et la reconstruction du citoyen, qui remet en question les rapports d’appartenance du citoyen. Étant citoyen en Europe, le citoyen n’est plus seulement citoyen dans l’état-nation mais également citoyen dans l’Union Européenne. Dans une perspective cosmopolite et démocratique, le citoyen européen et cosmopolite est une nécessité et cela exige un nouveau débat sur la citoyenneté. Ce mémoire a pour but de participer à ce débat en tentant d’expliquer la naissance du citoyen européen, qui puise ses racines en France, comme la nécessité et les enjeux qui sont liés à la citoyenneté européenne. L’hypothèse sur laquelle il se base est la suivante : Le citoyen européen trouve ses racines dans le citoyen républicain français. Ayant une identité composée, des nouvelles collectivités imaginées et des nouveaux rapports d’appartenances sociaux, le citoyen de l’état-nation devient un cosmopolite européen. La construction du citoyen républicain français, ainsi que celle du citoyen européen, est analysée dans une perspective constructiviste et cosmopolite. Étant le produit du siècle des lumières, le citoyen républicain est construit par le principe du droit du sol, par les valeurs républicaines, par la volonté d’appartenir à la nation et par les droits et les devoirs inscrits dans La Déclaration des Droits de l’Homme et du Citoyen. Le concept de citoyenneté est divisé, selon moi, en deux dimensions étroitement liées et complémentaires : la dimension sociale et la dimension politique. La dimension sociale est construite par l’identité, la collectivité, le capital social, la confiance et la responsabilité qui créent des collectivités imaginées et des traditions construites. Étant donné que la collectivité nationale est imaginée et construite par des traditions, l’identité nationale participe à créer une identité en plusieurs couches. Le capital social conçu comme une confiance entre les citoyens et entre les citoyens et la société est un élément impératif pour la solidarité ainsi que pour la légitimité et la démocratie. La dimension politique est, quant à elle, construite en donnant des droits et des devoirs aux citoyens. La dimension politique inclut, en effet, la citoyenneté juridique, les droits, les devoirs, la participation politique et la responsabilité. La participation politique et la responsabilité sont indispensables au bon fonctionnement de la démocratie et pour la légitimité des autorités. La légitimité exigeant aussi la dimension sociale, on comprend la nécessité de créer un citoyen européen à deux dimensions. La mondialisation et la cosmopolitisation intègrent, mais fragmentent aussi les citoyens et les nations, et cela se traduit des constellations postnationales et par l’avènement d’un citoyen post-national. Le citoyen postnational est un cosmopolite défini par des principes et des valeurs cosmopolites comme la paix, la solidarité, la volonté générale, l’égalité et le pluralisme ainsi que la volonté d’appartenir à la société cosmopolite. Ces valeurs sont acceptées et reconnues par le citoyen républicain et le citoyen cosmopolite et lient d’ailleurs l’un à l’autre ; elles participent à créer le citoyen cosmopolite comme elles avaient participé à créer le citoyen républicain dans une perspective état-nationale. Il est aujourd’hui possible et impératif que la perspective état-nationale soit remplacée par une perspective cosmopolite conforme aux exigences d’un monde postnational. Étant des éléments essentiels pour la démocratie, le capital social et les collectivités imaginées jouent un rôle fondamental. Le déficit démocratique de l’Union européenne est le résultat d’un manque de légitimité du côté input, c’està- dire d’un manque de volonté générale et d’un déficit de confiance. La participation aux élections et aux référendums européens révèle un manque d’implication des citoyens européens à remplir leurs droits et leurs devoirs. Ceci souligne le besoin de renforcer la citoyenneté européenne. Il est vrai qu’en théorie, le citoyen européen est créé dans Le Traité de Lisbonne, dans lequel l’histoire européenne, l’héritage commun et les valeurs communes sont ancrés et participent à la construction de la dimension sociale de la citoyenneté européenne. Les valeurs mises en exergue dans le traité sont en effet le pluralisme, la paix, la communauté de valeurs, la liberté et la solidarité, des valeurs à la fois républicaines, cosmopolites et européennes. Tout comme la Chartre de Droits de l’Homme, le Traité de Lisbonne confère des droits et de la responsabilité au citoyen européen ce qui construit le citoyen européen tout comme la Déclaration de Droits de l’Homme a construit le citoyen républicain au 18ème siècle. Ayant des racines républicaines et des valeurs à la fois républicaines et cosmopolites, le citoyen européen et cosmopolite existe. Reste à faire exister ce citoyen, en pratique, au quotidien.
